Sabre Business Development Opportunity Submission Agreement

This Sabre Business Development Opportunity Submission Agreement ("Agreement") governs all unsolicited material submitted to Sabre Holdings and its affiliates ("Sabre") in the form of business proposals, inventions, ideas, suggestions, and other information ("Proposal"). This Agreement is entered into by and between Sabre and you (the "Submitter"), as of the date that you accept this Agreement by clicking the "ACCEPT" button on this web page. Sabre makes no representation or guarantee that any Proposal received from the Submitter will result in a business relationship of any kind.

Sabre and the Submitter hereby agree:

1. The Submitter's Proposal will be treated as non-confidential by Sabre. Sabre may use, make available, reproduce, or distribute the Proposal, without limitation. Any rights that the Submitter may have in the Proposal shall be limited exclusively to valid copyrights and/or patents.

2. Any and all information contained in the Submitter's Proposal may be used by, referred to, or distributed to Sabre employees and/or third parties to determine the viability of the Proposal, and to determine whether Sabre desires to enter into a business relationship with the Submitter.

3. No confidential relationship of any kind will exist or arise between the Submitter and Sabre and/or third parties that may assist Sabre in the evaluation of the Proposal. No obligation is to be implied against or assumed by Sabre and/or these third parties with respect to the Submitter's Proposal.

4. By executing this Agreement, the Submitter is bound by the legal notices, including but not limited to privacy and copyright notices, posted on the Sabre website, located at http://www.sabre.com and there is no express or implied business relationship or prospect between Sabre and the Submitter.

5. Any and all information provided by Sabre to the Submitter will be considered confidential and proprietary. The Submitter agrees that it will only use such information for the sole purpose of providing comment to Sabre. The Submitter will not disclose such information to third parties without obtaining prior written consent from Sabre.

6. Nothing contained in this Agreement prevents Sabre from contesting the Submitter's Proposal.

7. The Submitter is solely responsible for the contents of, and any fees or costs associated with the Proposal.

8. Sabre will evaluate the Submitter's Proposal and inform the Submitter as to whether Sabre has an interest in a business relationship with the Submitter as soon as practicable after the execution of this Agreement.

9. This Agreement will be effective as of the date entered into by the Submitter clicking the "ACCEPT" button on this web page. This Agreement shall continue until it is terminated by either party giving forty-five (45) days advance written notice to the other Party of the intent to terminate this Agreement.

10. Upon termination of this Agreement, the Submitter agrees that any information provided by Sabre under this Agreement to the Submitter continues to be confidential and proprietary. Upon written request by Sabre, the Submitter will return to Sabre any such information and all copies thereof.

11. The rights and duties under this Agreement may be assigned by Sabre without notice to the Submitter. The Submitter may not assign or transfer this Agreement without Sabre's prior written consent.

12. The laws of the state of Texas shall govern the interpretation, validity and effect of this Agreement without giving effect to conflict of laws principles, and without regard to the place of execution or the place of performance. All disputes arising from this Agreement shall be resolved exclusively in the federal or state courts located in Tarrant County, Texas. The Submitter consents to personal jurisdiction and venue in Tarrant County, Texas for any disputes related to this Agreement.

13. Sabre and the Submitter agree that no legal action between the parties may be commenced more than one year after the date that the cause of action arises.

14. If any clause of this Agreement is determined to be invalid or unenforceable, the valid clauses in the Agreement shall remain enforceable.

15. Nothing contained herein will prohibit Sabre from offering, developing, or marketing products or services that are competitive to those contained in the Proposal.

16. This Agreement represents the entire agreement of the parties hereto relating to the Submitter's Proposal and Sabre's evaluation thereof, and supercedes any modifications, prior oral discussions or written agreements between the parties with respect thereto.
